Why signature is not enough
Transferring the operation of a terminal does not remove the public authority’s responsibility for protecting users’ interests and controlling service quality. The contract must be managed over its multi-year life: investment commitments, asset maintenance, service levels, tariffs, fair access, reporting and the handback of assets at the end of the term all need oversight.
How is an enforceable indicator written?
The phrase “the operator shall provide an appropriate quality of service” is not a suitable basis for enforcement. An indicator needs a quantitative definition, a measurement period, permitted exceptions, a method of access to data and a consequence for breach. For example, a berth productivity target must be measured with regard to cargo mix, equipment availability and force majeure conditions.
Contract review and changed circumstances
Long-term contracts are exposed to changes in demand, technology and environmental policy. Mechanisms for change, tariff review and dispute handling are as important as the definition of the original obligation. The flexibility needed must not become one party’s unregulated power to change the terms; the reasoning must be recorded and approved by the competent authority.
A suggested monitoring package
Set up a “concession obligations register” with a calendar of contract events, a KPI dashboard, a file of deviations and an escalation mechanism. The tasks of the contract, operations, legal and finance teams should be defined from the start. Important decisions must remain documented and open to review.
Practical checklist
- Schedule the investment and maintenance commitments
- Write KPIs with a contractual definition and method of calculation
- Record changes and waivers in a decision log
- Define a route for notices and correction when performance deviates
Frequently asked questions
Does a concession agreement remove public oversight?
No. The exact limits of oversight depend on the law and the contract, but transferring operations does not usually remove public responsibilities.
