The management problem

Choosing an unsuitable public-private partnership model, and the regulatory risks of concession agreements.

Audience: Port managers, public contracting authorities, investors and developers

Course aim: Make an initial assessment of the institutional structure and risks of a port PPP project

Key questions

  • How does a PPP differ from a concession and a service contract?
  • How does institutional risk affect a project's bankability?
  • Which oversight indicators and review mechanisms are needed?

Measurable learning outcomes

By the end of the course, participants will be able to:

  1. Compare two transaction models in terms of public interest and oversight capacity
  2. Prepare an institutional due diligence and risk matrix
  3. Write a decision note on the concession structure for an investment committee

Comparing two transaction structures and presenting to an investment committee

Assessed output: An institutional decision note

Core scenario (fictional, for training only)

A fictional port is choosing between an operating concession and an investment partnership to develop a container terminal. The assumptions on demand and oversight differ.

Final project

A PPP institutional risk brief

Criteria: precise identification of the problem and sources, clear reasoning, organisational accountability, prioritised actions, stated limitations and readiness for presentation to a decision-maker.

Method and assessment

Screening partnership models, institutional due diligence and defending an investment option. Interactive teaching, case analysis, group work and trainer feedback.

Short test 20%, session exercises 40% and final project 40%. The suggested criterion for an internal certificate of completion is at least 80% attendance and a score of 70 out of 100; this is not an official IMO or STCW standard.

Official sources

The assessment is preliminary and institutional. It is not a bankable financial feasibility study or a definitive investment recommendation.
